Platform licence agreement

Introduction
By clicking “Create account”, “Continue with Google”, or executing an order form that references this Agreement, you confirm your acceptance of its terms. Upon such acceptance, a binding contract is formed between INK LLC (the “Company”) and the accepting entity (the “Customer”). The Company and the Customer are each a “Party” and collectively the “Parties” to this Agreement.
INK provides its proprietary online marketplace (the “Platform”) connecting customers with creators for the use and sale of Assets created using generative AI technology. Use of the Platform is subject to this Platform Licence Agreement (the “Agreement”).
Agreed Terms:
1. Definitions
The following terms shall have the following meanings when used in this Agreement (save where the context clearly and unambiguously requires otherwise):
Active: means the status of a registered User Account is deemed active, i.e. the User is actively engaging in specific activities on the Platform, such as training a model, generating an image, or purchasing a license, or who maintains an active subscription by making timely payments
Applicable Law: means any applicable laws, rules or regulations (or similar guidance), including but not limited to the CDPA.
Asset: means any output generated by a Model on the Platform in response to a Prompt, including an Image and a video, together with any further output type the Company may make available. A Style Model is not an Asset.
Asset License: means the usage right acquired by a User in respect of a specific Asset that allows that User to download and use that Asset without a watermark. An Asset License is acquired automatically when the User performs a Licensing Action in respect of that Asset, and is drawn from the Asset Licenses then available to the User.
Base Model: means a foundational, pre-trained generative AI model integrated into the Platform, which cannot be trained or customized by Users. Base Models generate Images based on style and context provided directly in the User’s Prompt.
Balance: means a quantity of Credits or Asset Licenses available to be spent, whether held by a User Account or by an Organisation. A Balance is either a Credit Balance or a Licence Balance.
Business Day: means a weekday which is not a public holiday or a weekend in the United Kingdom.
CCPA: means the California Consumer Privacy Act of 2018, as amended from time to time, together with any implementing regulations or successor legislation, which provides rights and obligations relating to the processing of Personal Data of California residents.
CDPA: means the Copyright Designs and Patents Act 1988, as amended
Company: means INK LLC, a limited liability company registered in the Republic of Armenia under registration number 999.110.1607697 (TIN 01388186), with registered office at Haghtanak 1st street 1/523, Malatia-Sebastia, Yerevan 0081, Armenia.
Confidential Information: means all information of a confidential nature (in whatever form) which relates to this Agreement and is received or acquired (whether directly or indirectly) by a party including: any know-how, trade secrets, financial, commercial, technical, tactical or strategic information of any kind; all information produced, developed or derived from information disclosed pursuant to this Agreement; all information agreed to be, or marked as, confidential.
Company Proprietary Generation Technologies: means all proprietary software, algorithms, methodologies, and know-how, including but not limited to the specialized pipeline for prompt context preparation, utilized by the Platform to process the User’s Prompt and Model data to produce an Asset. The Intellectual Property Rights in these technologies are exclusively owned by the Company and are a necessary contributory element to every Asset generated.
Company Trademarks: means INK and inkai.am.
Content: means any material created or uploaded on the Platform by Users for generating or training purposes.
Creator: means the person who creates the Content who is the original creator of the Content who is a party to this Agreement.
Credits: means are a form of virtual currency on the Platform, allowing Users to access various features, such as image generation and style model training, but cannot be used to acquire an Asset License.
Credit Balance: means a Balance of Credits.
Licence Balance: means a Balance of Asset Licenses.
Data Controller: shall have the meaning of ‘data controller’ set out in the Data Protection Legislation.
Data Processor: shall have the meaning of ‘data processor’ set out in the Data Protection Legislation.
Data Protection Legislation: means, for such time as they are in force in England and Wales, the DPA, the GDPR and all related legislation which may supplement, amend, implement or replace them and which relates to the protection of individuals’ rights in their personal data and the protection of their privacy.
Data Subject: shall have the meaning of ‘data subject’ set out in the Data Protection Legislation.
Demo Private Style Model: means a Private Style Model that is available to the User for the purpose of generating Assets for internal review and evaluation, but for which no Asset License has been acquired for any specific Asset. Demo Private Style Models generate Assets with a watermark.
DPA: means the Data Protection Act 2018, as amended.
Fees: means all fees charged to User’s Account including Subscription Fees according to the pricing terms fixed from time to time by Company and which can be viewed on the Website.
Generation: means a set of Assets produced from a single User Prompt based on one specific Model.
Generative AI Artwork: means artistic creations that are produced, at least in part, by an artificial intelligence system. This system employs algorithms and models to autonomously generate visual content, which may be based on parameters or data inputs provided by a human creator. The resulting artwork can include, but is not limited to, digital images, illustrations, and designs that are original and distinct outputs of the generative process.
GDPR: means Regulation (EU) 2016/679 and/or such legislation as may give effect to its terms in England and Wales.
Image: Means a visual output generated by a Model on the Platform in response to a Prompt.
Image Buyer: means a User who purchases images from the Platform.
Image Creator: means a User who generates images using Models on the Platform.
Inactive Style Model: means a style model that has been deactivated due to the User’s inactive status on the Platform. The Inactive Style Model can only become active again after being re-trained by the User.
Inactive: means the status of a registered User Account is inactive, i.e. the User has not performed any activities on the Platform, such as training a style model, generating an image, or purchasing a license, and who has not maintained an active subscription by making payments within a specified period, leading to a change of status to Inactive.
Insolvency Event: means the occurrence of any of the following in respect of a party:
Where the party is a company, the party is deemed unable to pay its debts within the meaning of section 123 of the Insolvency Act 1986 (IA 1986) or where the party is an individual, is deemed either unable to pay its debts or as having no reasonable prospect of so doing, in either case, within the meaning of section 268 of the IA 1986;
Where the party commences negotiations with all or any class of its creditors with a view to rescheduling any of its debts, or makes a proposal for or enters into any compromise or arrangement with any of its creditors;
Where the party is a company, a petition is filed, a notice is given, a resolution is passed, or an order is made, for or in connection with the winding up of that party;
Where the party is a company, an application is made to court, or an order is made, for the appointment of an administrator, or a notice of intention to appoint an administrator is given or an administrator is appointed, over the party; or
Where the party is an individual, the party is the subject of a bankruptcy petition, application or order.
Intellectual Property: means rights to inventions, copyright and related rights, trademarks, trade names, domain names, rights in get-up, rights in goodwill or to sue for passing off, unfair competition rights, rights in designs, rights in computer software, database rights, topography rights, moral rights, rights in Confidential Information (including without limitation knowhow and trade secrets) and any other intellectual property rights, in which case whether registered or unregistered and including all applications for and renewals or extensions of such rights, and similar or equivalent rights or forms of protection in any part of the world, and Intellectual Property Rights shall be defined accordingly.
License Subscription: means the User’s ongoing commitment to purchase a Monthly Allocation of Licenses and Credits, payable either on a monthly or annual basis.
Licensing Action: means any of the following actions performed by a User in respect of an Asset: (a) downloading the Asset; (b) exporting the Asset in a vector format; (c) removing the background from the Asset; or (d) upscaling the Asset. The Company may designate further actions as Licensing Actions from time to time.
Monthly Allocation: means the specific quantity of Asset Licenses and Credits provided to the User each month under a License Subscription.
Open Source Software: means any software component that is licensed under a license approved by the Open Source Initiative or any substantially similar license which allows the software to be freely used, modified, and shared. Such software is subject to specific terms and conditions governing its use, distribution, and modification, which may include obligations to disclose source code or derivative works and requirements to provide attribution to the original authors.
Organisation: means an entity registered on the Platform with which User Accounts may be associated, and which may hold a Balance.
Organisation Balance: means a Balance held by an Organisation rather than by any User.
Organisation Member: means a User whose Account is associated with an Organisation.
Overdraft: means a quantity which the Company may allow an Organisation to spend beyond its Organisation Balance.
Payment Account: means the account operated by the Payment Provider.
Payment Provider: means a third-party service that facilitates the processing of monetary transactions on the Platform.
Personal Data: shall have the meaning set out in the Data Protection Legislation.
Personal Data Breach: shall have the meaning set out in the Data Protection Legislation.
Platform: means the INK online system that allows Users to generate, train, manage, share, and license AI-generated Assets and Models, including both Base Models and Style Models.
Platform Services: means the services available to Users on the Platform, including generating Assets using Base Models, training and using Style Models, accessing Public Style Models via the Style Library, and managing related features such as Credits and subscriptions.
Privacy Policy: means the Company’s privacy policy, as updated from time to time, available at https://inkai.am/privacy, which forms part of this Agreement.
Private Style Model: means a Style Model that is accessible only to its Creator or to Users that the Style Model Author has invited.
Processing and process: shall, when used in the context of activity relevant to Data Protection Legislation, have the meaning set out in that Data Protection Legislation.
Prompt: means a User-provided input that guides the model in generating a specific image, which may include text, image, aspect ratio, and other Image parameters.
Public Style Model: means a Style Model that is accessible to all Users for generating Assets on the Platform.
Public Style Model Author Revenue: means the earnings generated by the Style Model Author from Users’ acquisition of Asset Licenses for Assets generated using that Author’s Public Style Models on the Platform.
Public Style Model Moderation: means process of reviewing and approving Style Models before they are published on the Platform.
Roll-over Limit: means the maximum quantity of unused Licenses and Credits from the Monthly Allocation that may be carried forward to the following month, not to exceed the amount of the current Monthly Allocation.
Style Library: means a feature on the Platform that allows Users to browse, search, and use Public Style Models, including viewing model details and generating or purchasing Images created with those models.
Style Model: means a AI-generated creation on the Platform trained on specific artistic styles provided by the Creator and used to generate Assets.
Style Model Author: means a User who uploads a dataset to the Platform and trains a Style Model.
Style Model Training: means the process of creating a Style Model on the Platform by using a dataset provided by the User to train the AI.
Style Model Verification Process: means the procedure used by the Company to review a Style Model and verify that it complies with intellectual property rights requirements, including confirming that the images used to create it are either owned by the Creator or free from ownership restrictions.
Subscription Fees: means the fees payable by the User to access the Platform’s services and receive the Monthly Allocation of Licenses and Credits, payable on a monthly or annual basis.
Suspended Balance: means a User’s own Balance while it is not available to be spent because that User is an Organisation Member.
Terms of Use: means the terms of use of the Website, as updated from time to time and found at https://inkai.am/terms.
User: means a registered individual or entity on the Platform who can access and utilise the Platform’s features.
User Account: means a registered profile on the Platform.
User Payment Account: means the User’s payment account operated by the Payment Provider for processing monetary transactions on the Platform.
User Verification Process: means the procedure to confirm a User’s eligibility for accessing certain features of the Platform.
Verified Public Style Model: means a Public Style Model that has passed the Style Model Verification Process, confirming that the training data used to create it is either owned by the Creator or free from intellectual property restrictions.
Website: means https://inkai.am/ or such other URL as may be used by the Company from time to time.
writing: means any form or writing including, without limitation, email and electronic communications through the Platform’s messaging functionality.
